Overview
Redomiciliation allows an eligible company to change jurisdiction while retaining its legal identity, contracts and corporate history, subject to the laws of both jurisdictions. Grammont coordinates the home-jurisdiction checks, Mauritius continuation filings and any required FSC licensing. We work with your legal and tax advisers to plan the transition and manage ongoing governance and administration after the move.
Why Mauritius
Treaty network
A network of double taxation agreements supports Africa- and Asia-focused structures, subject to treaty eligibility and substance requirements.
Regulated financial centre
The FSC framework provides regulatory oversight for licensed entities and a recognised foundation for international business.
Flexible structures
GBC and VCC options can simplify complex holding or fund structures; VCC compartments allow separate strategies and ring-fenced liabilities.
Substance & governance
Resident directors, beneficial-ownership transparency and operational presence support credible governance for tax authorities and counterparties.
How it works
01
Feasibility & home-jurisdiction check
Confirm continuation is permitted, assess tax and contractual implications and obtain legal advice in both jurisdictions.
02
FSC/Registrar application
Prepare constitutional documents, good-standing evidence and board resolutions; coordinate Registrar and FSC submissions where required.
03
Continuation and licensing
Complete continuation and applicable licensing, align corporate records and notify investors, banks and counterparties.
04
Post-move administration
Maintain resident governance, AML/KYC controls, accounting, statutory filings and ongoing regulatory reporting.
